Carrot Top Marketing – Terms of
Business

1. Services Provided
We offer a range of marketing services, including but not limited to:
– Digital marketing campaigns
– Social media management
– Lead Generation
– Branding and design
– Web design and development
– SEO and analytics
– Marketing consultancy
Specific deliverables will be outlined in a written proposal, quote, or project brief prior to the commencement of work.
2. Engagement & Scope
2.1. A project or service will commence upon written acceptance of a quotation or proposal.
2.2. Any amendments to the scope of work must be agreed in writing. Additional work not
specified in the original agreement will be subject to additional charges.
3. Fees & Payment Terms
3.1. All fees are exclusive of VAT unless otherwise stated.
3.2. A 40% deposit may be required upfront for design work, with the remaining balance due upon project completion, unless otherwise agreed.
3.3. Invoices are payable within 14 days of the invoice date, unless stated otherwise on the
invoice.
3.4. Late Payment Fees:
– A late payment fee of 8% per annum above the Bank of England base rate, calculated daily,
will be charged on overdue invoices.
– In addition, we reserve the right to charge an administrative fee of £40 (for debts under
£1,000), £70 (for debts £1,000–£10,000), or £100 (for debts over £10,000), in accordance
with the Late Payment of Commercial Debts (Interest) Act 1998.
3.5. We reserve the right to suspend services or withhold final deliverables if payment is not
received in full and on time.
4. Client Responsibilities
4.1. You agree to provide all necessary materials, access, approvals, and cooperation
required for us to carry out our work.
4.2. Delays in delivering content, feedback, or approvals may result in a revised project
timeline and additional fees.
5. Intellectual Property
5.1. Upon full payment, you will own the final agreed deliverables. We retain the right to use
work for portfolio and promotional purposes.
5.2. All working files, drafts, and unused concepts remain the property of Carrot Top
Marketing unless otherwise agreed.
6. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or sensitive
information shared during the course of the project.
7. Liability & Indemnity
7.1. Carrot Top Marketing shall not be liable for any indirect, incidental, or consequential
damages, including loss of profit or business opportunity.
7.2. You agree to indemnify and hold harmless Carrot Top Marketing from any claims,
losses, or damages resulting from your use of our services, materials supplied by you, or any
breach of these Terms.
8. Warranties
8.1. We warrant that services will be performed with reasonable skill and care. We do not
guarantee specific results or outcomes unless explicitly stated in writing.8.2. You warrant that all content provided to us does not infringe on third-party rights.
9. Revisions & Approval
9.1. The project fee includes two rounds of revisions. Additional revisions will be chargeable
at our standard hourly rate.
9.2. Final approval must be given in writing (email sufficient) before delivery of final assets
or publishing of campaigns.
10. Cancellation & Termination
10.1. Either party may terminate the agreement with 14 days’ written notice.
10.2. If terminated by the Client before completion, you agree to pay for work completed to
date, including any committed third-party costs.
10.3. We reserve the right to terminate a contract immediately in the event of:
– Non-payment
– Abuse or harassment
– Breach of these Terms
11. Force Majeure
We shall not be held responsible for delays or failure to perform due to events beyond our
reasonable control, including but not limited to acts of God, natural disasters, power
failures, strikes, or governmental restrictions.
12. Governing Law
These Terms shall be governed by the laws of England and Wales, and any disputes shall be
subject to the exclusive jurisdiction of the English courts.
13. Amendments
We reserve the right to update these Terms at any time. The most current version will
always be available upon request or on our website.
14. Entire Agreement
These Terms, along with any agreed proposals or statements of work, represent the entire
agreement between the parties and supersede all prior discussions or communications.Contact Information
