Carrot Top Marketing Ltd. is a leading digital marketing agency based in Portsmouth. We specialise in creating unique websites, digital marketing campaigns, and search engine optimization (SEO).
3. Eligibility
By using our Services, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using our Services on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms.
4. Account Registration
To use certain features of our Services, you may be required to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information as necessary. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
5. Use of Services
5.1 Permitted Use
You agree to use our Services only for lawful purposes and in accordance with these Terms. You shall not use our Services in any manner that could damage, disable, overburden, or impair our servers or networks, or interfere with any other party’s use and enjoyment of our Services.
5.2 Prohibited Use
You agree not to:
– Use our Services for any illegal or unauthorized purpose.
– Post, upload, or distribute any content that is unlawful, defamatory, obscene, or otherwise objectionable.
– Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.
– Use any automated system, including without limitation “robots,” “spiders,” or “offline readers,” to access our Services in a manner that sends more request messages to our servers than a human can reasonably produce in the same period by using a conventional online web browser.
6. Fees and Payment

You agree to pay all fees in accordance with the terms set forth therein.
6.2 Payment Terms

40% of the total quoted cost as a deposit to be paid before commencement of any works.
60% of the total quoted cost on completion

Lead Generation:
Paid on receipt of invoice as an accrual ( prior to leads being sent)
Payment for our Services is due upon receipt of invoice unless otherwise agreed in writing. We reserve the right to suspend or terminate your access to our Services if you fail to make timely payments. Invoices that remain unpaid after the close of business of the fourteenth day, any future works will be suspended until the invoice/s is paid and cleared. Failed direct debit payments must be paid within seven days or future works will be suspended until the direct debit is paid in full.

7. Intellectual Property
7.1 Ownership
All content, trademarks, service marks, trade names, logos, and other intellectual property displayed on or through our Services are the property of Carrot Top Marketing Ltd. or its licensors, until full payments have been received and cleared. Any IP assets are given to customers, and all designs are customers, including design once full payment has been received. You are not granted any rights or licenses to use any of the foregoing.
7.2 User Content
By submitting any content to us, you grant us a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content in any media.
8. Confidentiality
You agree not to disclose or use any confidential information obtained from us for any purpose other than as necessary to perform your obligations under these Terms.
9. Disclaimer of Warranties
Our Services are provided “as is” and “as available” without any warranties of any kind, either express or implied. We do not warrant that our Services will be uninterrupted, error-free, or completely secure.
10. Limitation of Liability
To the maximum extent permitted by law, Carrot Top Marketing Ltd. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your use or inability to use our Services; (b) any unauthorized access to or use of our servers and/or any personal information stored therein; (c) any interruption or cessation of transmission to or from our Services; (d) any bugs, viruses, trojan horses, or the like that may be transmitted to or through our Services by any third party; or (e) any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through our Services.
11. Indemnification
You agree to indemnify, defend, and hold harmless Carrot Top Marketing Ltd. and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of our Services or your violation of these Terms.
12. Termination
We may terminate or suspend your access to our Services at any time, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.
You Must provide 30 days notice in writing to quit any works which provide a maintenance ongoing monthly service contract.
13. Governing Law
These Terms shall be governed and construed in accordance with the laws of the United Kingdom, without regard to its conflict of law provisions.
14. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days’ notice prior to any new terms taking effect. By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised terms.
